The following terms govern all website design and development engagements between Easy Web Presence and the Client. By initiating a project, both parties agree to abide by the terms outlined below. These terms exist to ensure clarity, protect both parties, and enable a smooth and professional working relationship from start to finish.

1. Nature of Engagement

EasyWeb Presence (hereinafter referred to as the "Developer") shall provide website design and development services as an independent service provider to the Client. Nothing contained herein shall be construed to create any employer-employee, partnership, or agency relationship.

2. Project Scope

The Developer agrees to design, develop, and deploy a custom website (utilizing HTML, CSS, and JavaScript) as per mutually discussed specifications, documented in writing (including email or message records).

  1. a.Base Scope: Standard projects consist of static front-end development.
  2. b.Backend Services: Backend development (including but not limited to databases, server-side logic, user authentication, or custom CMS integration) is available as an enhanced service. If backend functionality is required, it must be explicitly defined in the initial scope, will require an extended project timeline, and will be billed at an additional premium rate.
  3. c.Any request outside the defined scope shall be treated as Additional Services and billed separately.
3. Payment Terms
  1. a.The total project fee for the website development (including any agreed-upon backend services) shall be mutually agreed upon prior to project initiation.
  2. b.Payment Structure:
    1. i.50% Advance: Payable prior to project initiation.
    2. ii.50% Final Payment: Payable upon completion and prior to final deployment or handover. For large-scale backend projects, custom milestone payments may be negotiated.
  3. c.Work shall commence only upon receipt of the advance payment and all necessary Client content.
  4. d.Additional Services, Enhancements, Integrations, or Revisions beyond the scope shall be invoiced separately.
  5. e.Late Payments & Dormancy: Delay in payment may result in the temporary suspension of services. If the Client fails to communicate or provide required materials for a period exceeding 30 days, the project will be considered dormant and the remaining balance will become immediately due.
4. Project Timeline
  1. a.Estimated timelines shall be communicated based on project scope. Project timelines are estimates and are strictly subject to Client cooperation. Projects requiring backend architecture will inherently require extended timelines for secure development, testing, and deployment.
  2. b.The Developer shall not be responsible for delays arising from:
    1. i.Client feedback delays.
    2. ii.Delays in providing content, images, or materials.
    3. iii.Scope modifications.
    4. iv.Third-party dependencies (e.g., domain registrars, hosting setups).
  3. c.Urgent or priority delivery requests outside the standard timeline may attract additional rush charges.
5. Revision Policy
  1. a.The project includes Two (2) Minor Revision Rounds. Minor revisions are cosmetic and include:
    1. i.Text and copy adjustments.
    2. ii.Small visual refinements (e.g., colour tweaks, font sizing).
    3. iii.Alignment corrections.
  2. b.The following are explicitly not considered minor revisions and will be treated as Additional Services:
    1. i.Layout restructuring.
    2. ii.Complete design modifications.
    3. iii.Adding new backend features, forms, or database logic not outlined in the initial scope.
6. Support Terms
  1. a.A standard 14-day post-delivery support period is included following the final deployment.
  2. b.Included minor support covers:
    1. i.Minor text edits.
    2. ii.Bug fixes (e.g., broken links, mobile responsiveness issues).
  3. c.Major updates, feature modifications, or support requested after the 14-day window will be billed separately.
7. Change Management

Any modification request affecting layout, structure, features, backend functionality, integrations, or core behaviour shall be classified as Additional Services and costed accordingly. No implicit services shall be assumed. All communication regarding scope changes must be confirmed in writing.

8. Liability & Responsibility
  1. a.Web hosting, domain registration, server maintenance, and infrastructure remain the Client's responsibilities unless explicitly contracted with the Developer.
  2. b.The Developer's liability is strictly limited to the development services defined under this Agreement.
  3. c.The Developer shall not be liable for:
    1. i.Hosting or server failures.
    2. ii.Third-party platform issues.
    3. iii.External service disruptions.
9. Client Responsibilities

The Client shall:

  1. a.Provide accurate content, text, and materials in a timely manner.
  2. b.Ensure they hold the legal rights, copyright, and ownership of all submitted content and images.
  3. c.Provide timely approvals and constructive feedback.
  4. d.Arrange hosting and domain setup unless otherwise contracted.

The Developer shall not be held liable for legal disputes arising from inaccuracies or copyright infringements related to Client-provided materials.

10. Intellectual Property & Credits
  1. a.Upon full clearance of the final invoice, the Client shall obtain full usage rights to the final website deliverables.
  2. b.The Developer retains rights to underlying standard tools, methods, frameworks, and reusable code components.
  3. c.Portfolio Rights: The Developer reserves the right to display the completed work in their professional portfolio and marketing materials.
  4. d.Developer Credit: The Developer may place a small, unobtrusive link at the bottom of the Client's website unless a white-label agreement is mutually signed.
11. Third-Party Services

Where integrations involve third-party platforms or services:

  1. a.Developer liability is limited strictly to the correct technical implementation of the provided code or API.
  2. b.Performance, availability, and security of those integrations are governed by the respective third-party terms.
12. Limitation of Liability

To the maximum extent permissible under applicable Indian laws:

  1. a.Developer liability is limited solely to the fees paid for the disputed services.
  2. b.Under no circumstances shall the Developer be liable for indirect, incidental, or consequential business losses or damages.
13. Termination
  1. a.Either Party may terminate this engagement with written notice.
  2. b.Conditions of termination:
    1. i.Advance fees are non-refundable once work has commenced.
    2. ii.Any completed work beyond the initial advance shall be chargeable proportionally and due immediately upon termination.
14. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts at Gorakhpur, Uttar Pradesh.

15. Force Majeure

Neither Party shall be held liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, internet outages, or government mandates.
